3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for project execution
• Respond to communications and requests for feedback in a timely manner
• Provide necessary access to systems, accounts, and resources as needed
• Review and approve deliverables within agreed-upon timeframes
• Make payments according to the agreed payment schedule
• Ensure you have the rights to any content or materials provided to us

4. Intellectual Property

Client Materials

You retain all rights to any content, materials, or intellectual property you provide to us for use in your project.

Project Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. This includes custom code, designs, and assets created for your use.

Pre-existing Materials

We retain ownership of any pre-existing tools, frameworks, libraries, or methodologies used in your project. You are granted a license to use these materials as part of your project.

5. Payment Terms

• Payment terms will be specified in individual project proposals
• Deposits may be required before project commencement
• Invoices are due within 30 days unless otherwise specified
• Late payments may be subject to interest charges
• We reserve the right to pause work on projects with overdue payments

6. Project Changes and Scope

Changes to project scope, requirements, or timelines may affect pricing and delivery dates. Any significant changes will require:

• Written documentation of the requested changes
• Revised cost and timeline estimates
• Mutual agreement before proceeding

7. Warranties and Disclaimers

We strive to deliver high-quality work that meets agreed-upon specifications. However:

• Services are provided "as is" without warranty of any kind beyond what is explicitly stated in project agreements
• We do not guarantee specific business outcomes, rankings, or results
• We are not responsible for issues arising from third-party services, hosting providers, or platforms
• Mobile app approval and distribution are subject to Apple's App Store policies and guidelines

8. Limitation of Liability

To the maximum extent permitted by law, Vexor Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service in question.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, technical specifications, and any information marked as confidential. This obligation survives the termination of our business relationship.

10. Termination

Either party may terminate a project with written notice. Upon termination:

• Client is responsible for payment of all work completed up to the termination date
• We will provide all completed deliverables upon receipt of final payment
• Both parties will return or destroy any confidential materials

11. Indemnification

You agree to indemnify and hold harmless Vexor Digital from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
